Version: 20.10.2026
Subject
These Terms of Use (“Terms”) govern the contractual relationship (the “Agreement”) between Cubra AG, Seonerstrasse 6, 5600 Lenzburg, Switzerland (the “Provider”), and the companies and organizations that use the Plenio employer platform (“Plenio”) provided by the Provider (“Customers”), as well as the persons who use Plenio on behalf of a Customer (“Users”).
Plenio is intended for business use only. The Provider reserves the right to amend these Terms from time to time. Customers will be appropriately informed of any changes.
Registration and Organization Account
To use Plenio, a User registers with first name, last name, email address and password, or through an existing Google account (“Login Data”), and sets up an organization account (“Account”).
The Provider has sole discretion to accept or reject a registration request. Even after registration, the Provider may deactivate an Account or a User at any time.
To register, the User must be a natural person at least 18 years old and authorized to act for and bind the Customer. By registering, the User confirms this.
The Customer may invite further Users to its Account and is responsible for their access and their compliance with these Terms.
Users must keep their Login Data and the contact data of the Account up to date and ensure they can receive and read emails from the Provider. Users must keep their Login Data confidential and secure and notify the Provider immediately if they suspect or know of lost, stolen, or misused Login Data. The Customer is liable for all activity via its Account unless it acted without negligence.
Job Content
Customers can create job posts by entering a job description or uploading a file (“Job Content”). Customers decide which Job Content to provide and confirm that it is accurate, that they are entitled to use it, and that it complies with applicable law, in particular employment and anti-discrimination law.
The Customer grants the Provider the right to use the Job Content as needed to deliver its services, including AI-assisted processing and displaying it to candidates.
Right of Use
The Provider grants Customers with an Account the right to use Plenio as an internet-accessible SaaS solution under the following conditions and restrictions (“Right of Use”).
- The Right of Use is non-exclusive, non-transferable, and non-sublicensable, and limited to the version provided by the Provider.
- The Right of Use begins upon successful registration and ends upon deactivation or deletion of the Account.
- Users may not use robots, spiders, scrapers, or similar data extraction tools or any programs, algorithms, or methods to access, copy, or monitor Plenio’s interface.
Plenio
- Plenio uses AI to structure Job Content and to match job posts with suitable candidates (“Matches”).
- Contact details of a candidate are visible to the Customer only after the candidate has agreed to share them.
- The Customer can send an outreach request to a candidate. The Provider delivers it to the candidate on the Customer’s behalf. The candidate decides freely whether to accept or decline. The Provider does not guarantee that a candidate responds.
- Matches and other AI results are suggestions and may be incomplete or inaccurate. The Customer alone decides whether to contact, interview or hire a candidate and is responsible for these decisions.
- Plenio is generally available, but service interruptions may occur. No minimum availability is guaranteed.
- Plenio may contain links to third-party content. Such content is governed by separate terms and privacy policies. The Provider is not responsible for third-party content or offerings.
Candidate Data
Candidate data made available through Plenio may be used by the Customer only to assess candidates for the job post for which they were matched and to recruit for it. The Customer may not sell candidate data, pass it on to third parties, use it to build its own databases or use it for any other purpose. Once a candidate has shared contact details with the Customer, the Customer is responsible for its own processing of that data under applicable data protection law.
Licences, Credits and Fees
Plenio is provided under a licence. The licence defines the term and the quotas available to the Customer, in particular for job posts, outreach requests and Matches (“Credits”). Each outreach request uses one Credit. Credits that are not used before the licence expires lapse.
The Provider invoices the licence fees to the Customer. Invoices are payable within the period stated on the invoice. Fees belong solely to the Provider and are not refundable unless required by law.
The Provider may change its pricing model at any time and will inform Customers in advance. Changes do not affect licences already paid for during their current term.
Use of Third Parties
- The Provider may engage third parties (e.g., cloud, email and AI providers) to deliver services without prior consent.
- The Provider remains fully responsible for the actions and omissions of subcontractors.
Intellectual Property and Use of Content
- All intellectual property rights to Plenio remain the sole property of the Provider and/or its licensors.
- All rights to the Job Content remain with the Customer.
- The Customer may use the job texts generated by Plenio from its Job Content for its own recruiting without restriction.
Warranty
Plenio and all features and content are provided “as is” without warranty. The Provider does not guarantee uninterrupted, secure, or error-free operation or successful hiring via Plenio.
Liability
The Provider is liable to Customers only for direct damages caused by intentional or grossly negligent behavior. All other liability is excluded.
Indemnity
Customers must fully indemnify the Provider against third-party claims resulting from violations of these Terms, misuse of Plenio or candidate data, unlawful Job Content or hiring practices, or violations of laws or third-party rights.
Confidentiality
- Both parties must treat all confidential information learned during or in connection with this Agreement as strictly confidential.
- Information that is or becomes public without breach of this obligation is not considered confidential.
- Statutory disclosure obligations remain unaffected.
Data Protection
The Provider adheres to its privacy policy available at: Privacy policy
Termination
The Agreement is concluded for the term of the licence and can be terminated at any time by either party by deactivating or deleting the Account. Job Content and the other data of the Account are permanently deleted within 30 days after deletion, unless legal retention obligations prevent this.
The Provider reserves the right to temporarily block access to Plenio.
Final Provisions
- If any provision is or becomes invalid or incomplete, the remainder remains unaffected. The invalid provision shall be replaced with one closest to the intended economic purpose.
- Transfer or assignment of the Agreement or related claims by a Customer requires the Provider’s prior written consent. The Provider may assign or transfer the Agreement and all rights and obligations without restriction.
- These Terms are governed exclusively by Swiss law, excluding private international law and the UN Convention on Contracts for the International Sale of Goods (CISG) of April 11, 1980.
- The exclusive place of jurisdiction for all disputes related to these Terms is the Provider’s registered office.
